ข้อ 13. สมาชิกวิสามัญ สมาชิกสมทบ และสมาชิกกิตติมศักดิ์มีสิทธิเข้าประชุมใหญ่ แต่ไม่มีสิทธิออกเสียงในการเลือกตั้งคณะกรรมการ Art. 13. All extra ordinary and Honorary members shall have the right to attend general meeting but shall neither have the right to vote nor to be elected directors of the Board.
กรรมการที่มีส่วนได้เสียในวาระที่มีการพิจารณาจะต้องไม่อยู่ร่วมประชุมในวาระดังกล่าวและจะต้องไม่มีสิทธิออกเสียงในวาระนั้น Directors who have conflict of interest on the agenda under consideration shall leave the meeting and shall have no right to vote.
กรรมการหรือผู้บริหารซึ่งมีส่วนได้เสียในเรื่องใดไม่มีสิทธิออกเสียงและไม่ได้รับอนุญาตให้เข้าร่วมประชุมหรืออนุมัติรายการในเรื่องนั้น The stakeholding directors or executives in any matters are not entitled to vote and not allowed to attend the meeting or approve the transactions in such matters.
ในการพิจารณาระเบียบวาระต่างๆ กรรมการซึ่งมีส่วนได้เสียในเรื่องที่พิจารณาจะไม่มีสิทธิออกเสียงและต้องไม่อยู่ในที่ประชุมในวาระดังกล่าว In consideration any agendas, the directors who have interest in the matters being discussed shall not be entitled to vote and shall not be present at the meeting during discussion of such agendas.
๑๔.๔ แต่งตั้งผู้ทรงคุณวุฒิ และผู้มีเกียรติคุณเป็นที่ปรึกษาสมาคม โดยให้ที่ปรึกษาเข้าร่วมและออกความคิดเห็นในการประชุม แต่ไม่มีสิทธิออกเสียงลงคะแนน 14.4 Appoint qualified individuals who will act as advisors, though can not vote, on issue of the association
ทั้งนี้ กรรมการสรรหาฯ ผู้มีส่วนได้เสียในเรื่องใดไม่มีสิทธิออกเสียงลงคะแนนในเรื่องนั้น เว้นแต่เป็นการพิจารณาด้านค่าตอบแทนที่กำหนดไว้ในกฎบัตรฉบับนี้ Any member who has beneficial interest in the matter being considered shall not be cast his/her vote on that matter unless it concerns the remuneration prescribed in this charter.
ทั้งนี้ กรรมการสรรหาฯ ผู้มีส่วนได้เสียในเรื่องใดไม่มีสิทธิออกเสียงลงคะแนนในเรื่องนั้น เว้นแต่เป็นการพิจารณาด้านค่าตอบแทนที่กำหนดไว้ในกฎบัตร ฉบับนี้ Any member who has beneficial interest in the matter being considered shall not be cast his/her vote on that matter unless it concerns the remuneration prescribed in this charter.
กรรมการตรวจสอบคนหนึ่งมีเสียงหนึ่งเสียงในการลงคะแนน เว้นแต่กรรมการตรวจสอบซึ่งมีส่วนได้ส่วนเสียในเรื่องที่พิจารณาใดไม่มีสิทธิออกเสียงลงมติในเรื่องนั้นๆ Each member of the Audit Committee has one vote to cast; and in reviewing any items on the meeting agenda, any member of the Committee who has a personal interest in such item shall take no part in the vote.
