บริษัทจัดการอาจไม่ใช้สิทธิออกเสียงในการประชุมผู้ถือหุ้น ในกรณีวาระการประชุมไม่มีนัยสำคัญต่อผลประโยชน์ของกองทุน The Management Company may not exercise the right to vote at the Meetings of Shareholders if their agenda does not have any significance to the benefits of the funds.

ข้อ 13. สมาชิกวิสามัญ สมาชิกสมทบ และสมาชิกกิตติมศักดิ์มีสิทธิเข้าประชุมใหญ่ แต่ไม่มีสิทธิออกเสียงในการเลือกตั้งคณะกรรมการ Art. 13. All extra ordinary and Honorary members shall have the right to attend general meeting but shall neither have the right to vote nor to be elected directors of the Board.
ทั้งนี้ ในการเลือกตั้งกรรมการ มติที่ประชุมผู้ถือหุ้นให้ถือคะแนนเสียงข้างมากของผู้ถือหุ้นซึ่งมาประชุม และออกเสียงลงคะแนน The resolution of the meeting of shareholders for the appointment of directors will be the majority of votes of the shareholders attending the meeting and having the right to vote.
กรรมการที่มีส่วนได้เสียในวาระที่มีการพิจารณาจะต้องไม่อยู่ร่วมประชุมในวาระดังกล่าวและจะต้องไม่มีสิทธิออกเสียงในวาระนั้น Directors who have conflict of interest on the agenda under consideration shall leave the meeting and shall have no right to vote.
ในกรณีดังต่อไปนี้ ให้ถือคะแนนเสียงไม่น้อยกว่าสามในสี่ของจำนวนเสียงทั้งหมดของผู้ถือหุ้นซึ่งมาประชุม และมีสิทธิออกเสียงลงคะแนน in the following cases, a resolution shall be passed by a vote of not less than three-fourths (3/4) of the total number of shareholders present at the meeting and have the right to vote:

They shall also have equitable rights to receive the bank’s information.
ทั้งนี้ หุ้นที่บริษัทถืออยู่นั้นจะไม่นับเป็นองค์ประชุมในการประชุมผู้ถือหุ้น รวมทั้งไม่มีสิทธิในการออกเสียงลงคะแนนและสิทธิในการรับเงินปันผล The shares which are held by the Company shall neither be counted as the quorum of the meeting of shareholders, nor have the right to vote or receive the dividends.
